Acceptance of Terms

By accessing or using the services provided by Circular Payments ("we," "us," or "our"), including our website, APIs, dashboard, payment processing tools, and hardware (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

We reserve the right to update these Terms at any time. We will notify you of material changes via email or through our dashboard. Continued use of the Services after changes constitutes acceptance of the revised Terms.

Services Description

Circular Payments provides payment processing services that enable businesses to accept credit cards, debit cards, and other forms of electronic payment. Our Services include in-person payment terminals, online checkout, invoicing, recurring billing, virtual terminals, payment links, and a merchant dashboard for reporting and analytics.

We act as an intermediary between you (the merchant) and the payment networks and acquiring banks. We do not guarantee uninterrupted availability of the Services, though we strive for 99.99% uptime.

Account Registration

To use our Services, you must create an account and complete our onboarding process. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

We reserve the right to suspend or terminate accounts that provide false or misleading information, engage in prohibited activities, or violate these Terms.

Payment Terms

By using our Services, you agree to the pricing plan selected during onboarding. Fees include transaction processing fees, monthly subscription fees (if applicable), and any additional fees outlined in your merchant agreement.

Transaction fees are deducted from your settlement before funds are deposited into your bank account. Monthly fees are charged on the first business day of each month. We will provide at least 30 days' notice before any pricing changes take effect.

You are responsible for all chargebacks, refunds, and disputes arising from transactions processed through your account. We may hold a reserve if we determine there is elevated risk of loss.

Prohibited Use

You may not use our Services to:

  • Process transactions for illegal goods or services
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Process transactions on behalf of an unregistered third party
  • Submit fraudulent, unauthorized, or fictitious transactions
  • Violate any applicable law, regulation, or card network rule
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use our Services in a manner that could damage, disable, or impair our infrastructure

We reserve the right to immediately suspend or terminate your account if we determine you are engaged in prohibited activities.

Limitation of Liability

To the maximum extent permitted by law, Circular Payments shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from or relating to your use of the Services.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the total fees paid by you to us during the twelve (12) months preceding the claim.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Mecklenburg County, North Carolina.
